8. Disclaimers
Information on our website is provided for general guidance only and does not constitute legal advice. Legal outcomes depend on individual circumstances, and no specific result can be assured in any legal matter.
Engaging Karuna does not create a solicitor-client relationship in jurisdictions outside Thailand. Clients are responsible for verifying that advice received from us is appropriate for any jurisdiction other than Thailand.
9. Limitation of Liability
To the maximum extent permitted by Thai law, Karuna's liability in connection with any service is limited to the fees paid by the client for that service engagement.
We are not liable for any indirect, consequential, or incidental loss arising from the use of our services or website, including loss arising from reliance on general website content rather than formal engagement.
We are not liable for delays or failures caused by events outside our reasonable control, including court delays, actions of third parties, or circumstances constituting force majeure.
10. Indemnification
You agree to indemnify and hold Karuna harmless from any claim, loss, or expense (including reasonable legal fees) arising from your breach of these Terms, your use of our website, or the provision of inaccurate or misleading information in connection with a service engagement.
11. Termination
Either party may terminate a service engagement by giving written notice. Upon termination, fees for work already carried out are payable. Karuna may also terminate an engagement where a conflict of interest arises, where the client has provided materially inaccurate information, or where continued engagement is no longer appropriate for professional or ethical reasons.
Sections relating to confidentiality, intellectual property, disclaimers, and limitation of liability survive termination of any engagement.
12. Governing Law and Dispute Resolution
These Terms and any disputes arising from them are governed by the laws of the Kingdom of Thailand. The courts of Bangkok shall have exclusive jurisdiction over any disputes that cannot be resolved through informal means.
In the first instance, disputes should be raised directly with us at [email protected]. We will endeavour to resolve any concern promptly and in good faith.
13. General Provisions
- Entire Agreement: These Terms, together with any service engagement letter, constitute the entire agreement between the parties.
- Severability: If any provision is found unenforceable, the remaining provisions continue in full effect.
- Waiver: A failure to enforce any provision does not constitute a waiver of the right to enforce it in future.
- Assignment: You may not assign your rights under these Terms without our written consent. We may assign our obligations with prior notice.
